Terms of service

These terms are an agreement between you and Invogital ("we", "us", "our"). They apply when you use invogital.com and the Invogital app (the "service").

If you create an account for a business, you accept these terms for yourself and for that business, and you confirm you're authorised to do so. "You" means both.

Our Privacy policy explains how we handle personal information and forms part of these terms. If you don't agree with these terms, don't use the service.

You must be at least 18 and able to enter into a binding contract. Give accurate information when you sign up, and keep it up to date.

Keep your password safe and don't share your account. You're responsible for what happens in your account and in any business you manage, including what people you give access to do. If you think your account has been misused, tell us straight away at support@invogital.com.

Invogital lets you create and send quotations, invoices, receipts and statements, record payments and expenses, and see reports about your business.

Features marked "coming later" on our website aren't available yet, and we don't promise a date for them. The service is a tool: we don't give tax, legal or accounting advice, and we don't check whether your documents meet the rules that apply to you.

Our plans, their prices and what each one includes, such as the number of invoices you can issue each month, are shown on the Pricing page. Prices are in UAE dirhams and include VAT, so the price shown is the amount you pay.

You pay by card through our payment provider, Ziina, whose own terms apply to the payment. Each payment covers one month of the plan you choose. The month starts when you pay or, if you already have a paid month running, when that month ends. Plans don't renew automatically: you decide whether to pay for another month.

Payments aren't refundable, except where the law requires a refund or where we fail to provide the service you paid for.

We may change our prices and plans. A change won't affect a month you've already paid for, and we'll give you at least 30 days' notice before a price change applies to you.

If you don't have a paid month running, we may limit your account, for example to viewing and exporting your records, until you choose a plan. We'll tell you before we do.

Your business owns the information and records it puts into the service. You give us permission to host, store, copy, process and display that information only as needed to provide, secure and support the service for you, for example to create PDFs, deliver emails and show documents at their links.

You're responsible for the information you enter about your customers and others: you must have the right to use it, and tell them how it's used where the law requires. For that information we act on your instructions, as our Privacy policy describes.

You can download your documents and export your reports at any time. Keep your own copies of important records.

You're responsible for the documents you issue, including customer details, amounts, tax rates, tax numbers and wording, and for meeting the invoicing, tax (including VAT) and record-keeping rules that apply to your business.

Anyone with a document link can open that document. Share links only with the people they're meant for, and replace a link if it reaches the wrong person.

Documents created with the service include a small "Made with Invogital" mark that links to our website.

Don't use the service to do, or try to do, any of the following:

• Issue fraudulent, misleading or unlawful documents, or evade tax
• Send spam, phishing or messages people haven't agreed to receive
• Store or send unlawful, infringing or harmful content, including malware
• Access another business's data, other people's accounts, or parts of the service you aren't allowed to use
• Disrupt, overload, scrape, probe or reverse engineer the service, except where the law allows it
• Get around plan limits, payments or security measures
• Resell the service or provide it to others without our written permission

The service works with services we don't control, including Ziina for payments, Google for sign-in, WhatsApp, and your customers' email providers. Your use of them is governed by their own terms, and we aren't responsible for them.

We work to keep the service available and reliable, but it may sometimes be interrupted for maintenance, updates or reasons outside our control. We may add, change or remove features.

If we remove a feature from a plan you've paid for, or stop offering the service, we'll give you reasonable notice and the chance to export your records.

You can stop using the service at any time. To close your account, email support@invogital.com from the address on the account.

We may suspend or close an account that breaks these terms or puts the service, other users or the public at risk. We'll tell you why and, where we reasonably can, give you the chance to fix the problem first, unless the law, security or the seriousness of the issue prevents it.

When an account is closed, your right to use the service ends. We keep or delete your information as our Privacy policy describes, so export anything you need first.

The service, including its software, design, logo and the Invogital name, belongs to us or our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service for your business while your account is open. They don't transfer any ownership to you.

If you send us feedback or ideas, we may use them without any obligation to you.

The service is provided "as is" and "as available". To the extent the law allows, we make no promises about the service beyond those in these terms, including that it will be uninterrupted or error-free, or that it will meet your particular needs.

To the extent the law allows, we aren't liable for any indirect or consequential loss, or for any loss of profits, revenue, business, goodwill or data, arising from or related to the service.

To the extent the law allows, our total liability for all claims relating to the service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.

Nothing in these terms limits liability that can't legally be limited, such as liability for fraud.

You'll compensate us for losses and reasonable costs arising from claims by others that result from your documents, your data, or your breach of these terms or the law.

We may update these terms. We'll change the date at the top of this page, and tell you about significant changes by email or in the app at least 30 days before they take effect. If you keep using the service after that, the updated terms apply. If you don't agree with them, stop using the service and close your account.

These terms are governed by the laws of the United Arab Emirates. If a dispute arises, please contact us first so we can try to resolve it informally. If we can't resolve it within 30 days, it will be decided by the competent courts of the United Arab Emirates.

If any part of these terms can't be enforced, the rest still applies. If we don't enforce a right straight away, we haven't given it up. You may not transfer these terms without our consent; we may transfer them as part of a reorganisation, merger or sale of our business. These terms are the whole agreement between you and us about the service.
